On December 12, 2017, Repros Therapeutics Inc., a Delaware corporation (the “Company”) announced in a press release (the “Press Release”) that the Company entered into an Agreement and Plan of Merger, dated as of December 11, 2017, with Allergan Sales, LLC, a Delaware limited liability company (“Parent”) and a wholly owned subsidiary of Allergan plc (“Allergan”), and Celestial Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent (“Purchaser”). The Merger Agreement and the Press Release were filed by the Company under cover of a Current Report on Form 8-K on December 12, 2017 (the “8-K”), and are incorporated herein by reference.
